PHOTOGRAPHY TERMS & CONDITIONS---1. DEFINITIONSFor the purpose of this agreement:- "The Photographer" means Alex Segre, sole trader.
- "The Client" means the individual or entity commissioning the photography services.
- "The Subjects" means the individuals photographed during the shoot, who may or may not be the same person as the Client.
- "Photographs" means all photographic images and materials produced by the Photographer for the Client.
- "Licence to Use" means the rights granted to the Client to use the Photographs as described in clause 3.
---2. COPYRIGHTThe copyright in all Photographs remains the property of the Photographer at all times throughout the world.---3. USE AND LICENCE GRANTED TO THE CLIENTUpon full payment of all relevant invoices, the Client is granted a perpetual, worldwide, and irrevocable licence to use the Photographs for any personal or commercial purpose.This licence includes the rights to reproduce, display, publish, and distribute the Photographs in any media or format now known or developed in the future.The Client may not sell the Photographs to third parties, nor transfer them for those third parties' own independent commercial use, without the Photographer's prior written consent. However, the Client may share the Photographs at no charge with third parties — such as journalists, publications, or media outlets — where such use relates directly to the Client or to the Subjects depicted in the Photographs (for example, for editorial coverage about the Client or its personnel). The Client may not charge third parties for access to the Photographs.---4. PHOTOGRAPHER'S PROMOTIONAL USENotwithstanding the Client's licence under clause 3, the Photographer reserves the right to use the Photographs for promotional, marketing, portfolio, and advertising purposes in any media worldwide, including on the Photographer's website, social media, and printed materials.The Client, or any Subject depicted in the Photographs, may request in writing at the time of booking that specific images not be used for the Photographer's promotional purposes. The Photographer will honour all such requests.Requests made after delivery of the Photographs will be considered on a case-by-case basis and honoured where reasonably practicable.For further information on how the Photographer handles the personal data of Subjects, including their rights regarding promotional use of their images, please refer to the Privacy Policy at corporateheadshots.photo/#privacy.---5. PAYMENT(a) Payment is due within 30 days of invoice date unless otherwise agreed in writing.(b) Late payments will incur statutory interest in accordance with applicable UK law.---6. CANCELLATIONBy the Client: The Client may cancel a confirmed shoot by providing written notice at least 48 hours prior to the scheduled date. Cancellations made less than 48 hours before the shoot will incur a cancellation fee of 50% of the agreed fee.By the Photographer: In the event that the Photographer is unable to fulfil a confirmed booking, the Photographer will provide as much notice as possible and a full refund of any fees paid will be issued. The Photographer shall have no further liability to the Client in such circumstances.Rescheduling: Rescheduling is subject to the Photographer's availability and may incur additional fees.---7. DELIVERYRetouched Photographs will be delivered digitally via a secure download link within 3 working days of the shoot. Delivery times may be affected by unforeseen circumstances, but the Photographer will communicate any delays promptly.---8. LIABILITYThe Photographer's total liability to the Client for any claim arising out of or in connection with this agreement shall not exceed the total fees paid by the Client for the relevant shoot.The Photographer shall not be liable for any indirect, consequential, or incidental damages arising from the use or inability to use the Photographs.The Photographer shall not be liable for failure to perform or delay in performance caused by events beyond their reasonable control, including but not limited to technical failures, illness, adverse weather, natural disasters, or government actions. In such circumstances, clause 6 (Cancellation — By the Photographer) shall apply.---9. CONFIDENTIALITYAny confidential information disclosed by the Client during the course of the commission will be treated with appropriate discretion and will not be disclosed to third parties except as necessary for the provision of services.---10. DATA PROTECTIONThe Photographer processes personal data, including photographs of Subjects, in accordance with the Privacy Policy available at corporateheadshots.photo/#privacy, which sets out the lawful bases for such processing and the rights of individuals whose data is held.---11. VARIATIONThese terms may only be varied by mutual written agreement.---12. APPLICABLE LAWThis agreement shall be governed by and construed in accordance with the laws of England and Wales.---13. ENTIRE AGREEMENTThis document constitutes the entire agreement between the parties relating to the subject matter and supersedes all prior agreements or understandings.

Legal Basis for ProcessingI process personal data on the following lawful grounds:- Contractual necessity — to fulfil bookings, deliver images, and manage client accounts.
- Legitimate interests — to maintain business records, retain photographic files for potential future re-delivery to clients, promote my services using portfolio images, and improve my website. In each case I have balanced these interests against the rights and interests of the individuals concerned.
- Consent — where I use photographs for promotional purposes and where subjects have not otherwise had a reasonable opportunity to object (see Section 6 below).

Promotional Use of PhotographsAs stated in my Terms and Conditions, I reserve the right to use photographs from shoots for my own promotional, marketing, and portfolio purposes, including on my website, social media, and printed materials.Clients or photographic subjects who do not wish their photographs to be used in this way may request an opt-out in writing at the time of booking, and I will honour such requests.---7. How I Use Your Personal DataI use your personal data to:- Respond to enquiries and manage bookings
- Deliver photography services and provide images to clients
- Issue and process invoices
- Retain photographic files so that images can be re-delivered if a client loses access to their files in the future
- Promote my services using portfolio images, subject to Section 6 above
- Comply with legal and accounting obligations
- Analyse website usage to improve functionality and user experience

Retaining files allows me to provide this ongoing service. This is done on the basis of legitimate interests, balanced against the rights of the individuals depicted.If you are a photographic subject and wish to request erasure of your images from my archive, please contact me using the details in Section 12. I will consider all such requests in accordance with my obligations under UK GDPR, noting that the right to erasure is not absolute and may be balanced against legitimate interests.Website visitor data is retained only for as long as necessary for analytical purposes, in accordance with the settings of the relevant analytics tools used.---11. Your RightsUnder UK GDPR and the DUAA 2025, you have the right to:- Access the personal data I hold about you
